CHAPTER 50: RENAMING THE SHELL COMPANY

December 17th, 2025. Twelve o’clock in the afternoon. At the Raffles Place, in Singapore.

Timothy had just arrived three hours earlier, restless to begin his automotive company as soon as possible. For that, he needed to meet the person who had originally helped him form his shell company.

The office door opened, and Timothy quickly rose to his feet, extending his hand.

"Good afternoon, Ms. Lim. It’s a pleasure to see you again," Timothy greeted politely.

"It’s a pleasure to see you as well," Ms. Lim replied with a warm smile, shaking his hand. "I didn’t expect us to meet again so soon. But I did read your email—you wish to change the nature of your business? From a shell company to a legitimate automotive company?"

"That’s correct," Timothy confirmed.

"Please take a seat. I’ll pull out the files from my drawer," Ms. Lim said as she moved gracefully behind her desk.

Timothy sat, his briefcase resting neatly by his leg. Ms. Lim retrieved a thick folder, opened it, and slid it toward him.

"Your company, TG Enterprise, is currently classified as a general shell, as you know," she explained. "But with your request, we will restructure it into a full operating entity. You want the new identity to focus on automotive and electric vehicles, correct?"

"Yes," Timothy replied firmly. "TG Mobility Holdings. That will be the new name. It will carry all patents, trademarks, vehicle designs, and intellectual property rights under one roof. From now on, TG Enterprise ceases to exist—it becomes TG Mobility Holdings."

Ms. Lim jotted down notes with precision. "Very well. The transition will require amendments to your Articles of Incorporation and filings with the Singaporean registry, but it’s straightforward enough. Given the scale you hinted at in your email, gigafactories, battery production, exports, am I right to assume you’re positioning yourself to rival Tesla or BYD?"

"That’s exactly the plan," Timothy said with quiet confidence.

"Then you’ll need more than just paperwork," Ms. Lim replied, folding her hands together. "Fortunately, our firm also offers executive headhunting services. Not many know this, but we specialize in sourcing C-level talent for companies undergoing rapid transformation."

Timothy tilted his head. "You mean CEOs, CFOs, COOs, CTOs?"

"Precisely. Individuals with proven track records in the automotive or energy sectors. Some from global giants, others from rising EV start-ups. They’re always open to strong offers—especially when serious capital backs them."

Timothy’s gaze sharpened. "And the fee for such services?"

"A standard headhunting commission," Ms. Lim replied smoothly. "But in your case, I’d recommend a retainer model. We’ll shortlist three to five candidates per role within two months. You’ll interview them, choose who aligns with your vision, and we’ll handle the contracts. Speed, not bargaining, is the key here."

Timothy nodded slowly. "Interviews, then. I’ll need this sooner than later. But before we get to that, let’s focus on today’s matter first."

"Of course," Ms. Lim said, closing the folder neatly. "Let’s finalize the transformation of TG Enterprise into TG Mobility Holdings. From here, your business empire begins."

Ms. Lim pulled another folder from her drawer, this one slimmer but stamped with the insignia of Singapore’s Accounting and Corporate Regulatory Authority (ACRA). She set it down between them and flipped it open, revealing neatly tabbed documents.

"These are the amendment papers to your Articles of Incorporation," she explained. "The first form is the ’Notice of Change of Company Name.’ It formally records the transition of TG Enterprise into TG Mobility Holdings. Once you sign, we submit it electronically, and the new name becomes effective within 24 to 48 hours."

Timothy leaned forward, scanning the lines. The words TG Enterprise Pte. Ltd. were crossed out in bold, and underneath was the sleek new title: TG Mobility Holdings Pte. Ltd. Just seeing it written there made his chest tighten with anticipation.

"And here," Ms. Lim continued, sliding the second stack forward, "are the amendments to your company’s objectives. Currently, TG Enterprise is registered as a general-purpose entity, meaning it has no defined operating scope. With this change, it will explicitly state your focus: automotive design, manufacturing, electric vehicles, energy storage systems, and mobility-related technologies."

She tapped her pen against the page. "This protects your intellectual property and ensures that, should you enter into contracts or seek investors, your entity is legally recognized as an automotive and energy firm, not a hollow shell."

Timothy nodded. "Makes sense. I don’t want anyone questioning legitimacy later."

"Exactly. Finally, the shareholding declaration." She turned to the last section, crisp and formal. "Currently, you hold 100% ownership of TG Enterprise. Do you wish to maintain this for TG Mobility Holdings, or restructure to accommodate potential partners?"

"For now," Timothy said firmly, "keep it all under my name."

Ms. Lim allowed a small approving smile. "That simplifies matters."

She handed him the pen. "Mr. Guerrero, once you sign these three forms, your holding company will officially transform. From that point forward, all legal filings, bank accounts, and contracts will bear the new name."

He signed each page with clean strokes and after that, he handed it to her.

Ms. Lim gathered the signed papers carefully and slid them into a sealed envelope. "Congratulations, Mr. Guerrero. TG Mobility Holdings is now in motion. Within days, it will be publicly recognized in the registry. From there, we can begin drafting your executive search strategy and structuring your subsidiary network in the Philippines."

Timothy returned to the same glass tower at Raffles Place. Ms. Lim’s office once more. This time, she already had a folder prepared on her desk, its dark leather cover standing out against the neat stack of documents beside it.

"Mr. Guerrero," she greeted him with her usual composed smile. "As promised, we’ve begun shortlisting potential C-level executives for TG Mobility Holdings. Inside this folder are profiles of five candidates, each carefully vetted for their experience in automotive, EV technology, or large-scale manufacturing."

Timothy reached for the folder but stopped just short of opening it. His fingers brushed the surface, feeling the weight of what was inside. These weren’t just résumés—they were the future architects of his company.

He leaned back, deciding not to open it yet. "I’ll take this with me. Some decisions need the right frame of mind."

Ms. Lim nodded knowingly. "Wise choice."

"Also, I already sent the payment to your corporate account," Timothy said. "I’ll give you a call once I have decided."
